• Terms and Conditions Direct Deposit Campaign

1. Introduction

These Terms and Conditions govern participation in the Direct Deposit Promotion offered through the Modak platform.

The Direct Deposit Promotion is an optional promotional program designed to encourage eligible customers to establish qualifying direct deposit activity with their Modak account. Customers who satisfy the applicable eligibility requirements during the promotional period may receive one (1) complimentary month of MoGold membership as described in these Terms and Conditions.  

Participation in the Direct Deposit Promotion is not required to open or maintain a Modak account.

By participating in the Direct Deposit Promotion, you represent and warrant that you meet the eligibility requirements described in these Terms and Conditions. You further acknowledge that Modak's decisions regarding the administration of the Direct Deposit Promotion, including eligibility determinations, reward issuance, and fulfillment, shall be final and binding, subject to applicable law.

The Direct Deposit Promotion is subject to all applicable federal, state, and local laws and regulations.

2. Eligibility:
To participate in the Direct Deposit Promotion, you must:

• maintain an active Modak account in good standing;
• satisfy the eligibility requirements set forth in the Modak Terms and Conditions and Deposit Account Agreement;
• receive one or more qualifying Direct Deposit transactions totaling at least $225.00 USD during the applicable calendar month; and
• satisfy any additional eligibility requirements that may be communicated in connection with a specific promotional offer, such as promotional enrollment periods, geographic eligibility, account tenure requirements, or other offer-specific conditions.

For purposes of this Promotion, Qualifying Direct Deposits are electronic deposits initiated by an employer, payroll provider, government agency, or other eligible benefits provider through the Automated Clearing House (ACH) network and identified by Modak as qualifying Direct Deposit transactions.

The following transactions do not qualify as Direct Deposits for purposes of this Promotion:

• Peer-to-peer transfers;
• Customer-initiated bank transfers;
• Debit card transfers or card loads;
• Transfers from digital wallets or payment applications;
• Internal account transfers; and
• Any transaction identified by Modak as non-payroll or non-benefits related funding activity.

Modak reserves the right to determine whether a transaction qualifies for this Promotion based on information received through the payment network and its transaction processing systems.

3. How to Participate

Eligible customers are automatically enrolled in the Direct Deposit Promotion once they satisfy the eligibility requirements described in these Terms and Conditions. No separate registration or enrollment is required.

To qualify for a promotional reward, an eligible customer must receive one or more Qualifying Direct Deposit transactions totaling at least $225.00 USD during the applicable calendar month.

Eligible Direct Deposit transactions may originate from one or more employers, payroll providers, government agencies, or other eligible benefits providers, provided they are identified by Modak as Qualifying Direct Deposits.

Following the close of each calendar month, Modak will review eligible accounts to determine whether the applicable qualification requirements have been satisfied. Customers who qualify will receive the one (1) complimentary month of MoGold membership, subject to these Terms and Conditions.

If a customer does not satisfy the qualification requirements during a subsequent calendar month, the customer will not receive the promotional reward for that period but may requalify during any future calendar month by again meeting the applicable eligibility requirements.

4. Limitations and Exceptions

‍The following limitations apply to the Direct Deposit Promotion:

• Qualifying Direct Deposit transactions must be successfully received and posted to the eligible Modak account during the applicable calendar month.
• Transactions that are returned, reversed, rejected, disputed, or otherwise determined by Modak to be invalid will not qualify.
• Accounts that are closed, suspended, restricted, under review, or otherwise not in good standing at the time promotional rewards are issued are not eligible to receive rewards.
• Promotional rewards are non-transferable, have no cash value unless expressly stated otherwise, and may not be redeemed or exchanged except as determined by Modak.
• Fraudulent activity, abuse of the Promotion, attempts to manipulate qualification requirements, or violations of the Modak Terms and Conditions or Deposit Account Agreement may result in disqualification, forfeiture of promotional rewards, reversal of previously awarded promotional rewards, suspension from future promotions, or other action permitted under applicable agreements or law.
• Modak reserves the right to verify eligibility before issuing any promotional reward.

5. Promotion Period:
The Direct Deposit Promotion will remain available until modified, suspended, or terminated by Modak.

Modak may modify, suspend, or discontinue this Promotion at any time, subject to applicable law and any required customer notice.

Any promotional eligibility requirements, promotion period, promotional rewards, or promotional limitations applicable to a specific offer will be communicated through the Modak app, promotional materials, or other communications provided by Modak.

Modak reserves the right to verify eligibility before issuing any promotional reward and may delay or withhold reward fulfillment while eligibility is being reviewed.

6. Reward

‍Eligible customers who satisfy all qualification requirements during an applicable calendar month will receive one (1) complimentary month of MoGold membership.

Customers who continue to satisfy the qualification requirements during subsequent calendar months will continue to receive one (1) complimentary month of MoGold for each qualifying month.

Complimentary MoGold membership will generally be applied to the eligible account(s) within five (5) business days following Modak's monthly qualification review.

• Customers who are not currently subscribed to MoGold will receive complimentary access to MoGold for the applicable reward period. Customers who receive complimentary MoGold membership through this Promotion will not be automatically enrolled in a paid subscription when the complimentary promotional period expires. Unless the customer separately elects to purchase or subscribe to MoGold, access to the complimentary MoGold benefits will end upon expiration of the promotional period.
• Customers with an active paid MoGold subscription will receive one (1) additional complimentary month added to their existing subscription term.

Complimentary MoGold membership earned through this Promotion is non-transferable, has no cash value, and may not be redeemed for cash unless required by applicable law.

The features, benefits, and terms applicable to MoGold membership are governed by the Modak Terms and Conditions and any applicable MoGold Terms and Conditions.

Modak reserves the right to verify eligibility before issuing rewards and may delay, withhold, deny, or reverse rewards in cases involving fraud, abuse, error, or violations of these Terms and Conditions, the Modak Terms and Conditions, or the Deposit Account Agreement.

7. Customer Communications and Notification

Modak may notify eligible customers regarding this Promotion through the Modak app, email, SMS, push notifications, or other communication methods associated with the customer's account.

Customers are responsible for maintaining accurate contact information. Modak is not responsible for delayed or unsuccessful notifications resulting from inaccurate contact information, spam filters, security settings, or other circumstances outside of Modak's reasonable control.

Participation in this Promotion does not require customers to participate in advertising, publicity, or marketing activities unless the customer separately consents to such participation.

8. Liability and Disputes

‍Participation in the Direct Deposit Promotion is subject to the dispute resolution, limitation of liability, governing law, arbitration, indemnification, and other applicable legal provisions contained in the Modak Terms and Conditions, which are incorporated into these Terms and Conditions by reference.

Modak is not responsible for delays, failures, or errors in Direct Deposit processing caused by employers, payroll providers, government agencies, financial institutions, payment networks, telecommunications providers, third-party service providers, or circumstances beyond Modak's reasonable control.

Modak shall not be responsible for delays or failures in reward issuance resulting from incomplete, inaccurate, delayed, returned, reversed, or rejected Direct Deposit transactions.

Nothing in these Terms and Conditions limits any rights that cannot be limited under applicable law.

9. Privacy

Information collected or processed in connection with the Direct Deposit Promotion will be handled in accordance with the Modak Privacy Policy, the Modak Terms and Conditions, the Deposit Account Agreement, and applicable law.

Modak may use information associated with your account and qualifying Direct Deposit activity to determine eligibility, administer the Promotion, issue promotional rewards, investigate fraud or abuse, respond to customer inquiries, comply with legal or regulatory obligations, and improve its products and services.

By participating in the Direct Deposit Promotion, you acknowledge and agree that Modak may process your information as necessary to administer the Promotion in accordance with its Privacy Policy.

10. General Provisions

‍Modak reserves the right to administer, monitor, interpret, modify, suspend, or terminate the Direct Deposit Promotion in accordance with these Terms and Conditions and applicable law.

Modak may delay, withhold, deny, or reverse promotional rewards if it reasonably believes a customer has engaged in fraud, abuse, manipulation of the Promotion, or any activity that violates these Terms and Conditions, the Modak Terms and Conditions, the Deposit Account Agreement, or applicable law.

Failure by Modak to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other rights available to Modak.

If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms and Conditions supplement the Modak Terms and Conditions, the Deposit Account Agreement, and any other applicable agreements governing your Modak account. If there is a conflict between these Terms and Conditions and the Modak Terms and Conditions or Deposit Account Agreement, the Modak Terms and Conditions and Deposit Account Agreement will control except with respect to the specific promotional terms contained in this document.
