MoGold Referral Promotion Terms and Conditions

1. Introduction

These Terms and Conditions govern the MoGold Referral Promotion offered through the Modak platform. This Promotion provides an additional promotional reward to eligible participants in the existing Modak Referral Program and should be read together with the Modak Referral Program Terms and Conditions, which define the Referral Program, Referral Link, Referred Customer, Successful Referral, and other applicable terms. Participation in this Promotion is subject to the Modak Referral Program Terms and Conditions, the Modak Terms and Conditions, and any applicable Deposit Account Agreement.

Capitalized terms used but not defined in these Terms and Conditions, including Referral Link, Referred Customer, Referral Reward, and Successful Referral, have the meanings assigned to them in the Modak Referral Program Terms and Conditions.

In the event of a conflict between these Terms and Conditions and the Modak Referral Program Terms and Conditions, these Terms and Conditions govern solely with respect to the additional MoGold promotional reward described herein.

2. Eligibility

To participate in the MoGold Referral Promotion, you must:

• maintain an active Modak account in good standing;
• participate in the Modak Referral Program in accordance with the Modak Referral Program Terms and Conditions;
• complete one or more Successful Referrals, as defined in the Modak Referral Program Terms and Conditions;
• satisfy all eligibility requirements applicable to the Referral Program; and
• satisfy any additional promotional requirements communicated in connection with this Promotion.

Only Successful Referrals, as defined in the Modak Referral Program Terms and Conditions, qualify for the additional MoGold promotional reward described in these Terms and Conditions.

3. How to Participate

Eligible participants are automatically considered for the MoGold Referral Promotion when they participate in the Modak Referral Program. No separate registration or enrollment is required.

To earn the additional MoGold promotional reward, you must complete one or more Successful Referrals, as defined in the Modak Referral Program Terms and Conditions, while the MoGold Referral Promotion is active.

Upon verification of a Successful Referral, eligible participants will receive the additional promotional reward described in these Terms and Conditions, subject to all applicable eligibility requirements, verification procedures, and promotional limitations.

4. Limitations and Exceptions

The following limitations apply to the MoGold Referral Promotion:

• Only Successful Referrals, as defined in the Modak Referral Program Terms and Conditions, qualify for the additional MoGold promotional reward.
• Participants must remain eligible for the Modak Referral Program and maintain their Modak account in good standing at the time the promotional reward is issued.
• Complimentary MoGold promotional rewards are non-transferable, have no cash value, and may not be redeemed or exchanged for cash or any other benefit unless required by applicable law.
• Modak reserves the right to verify eligibility before issuing any promotional reward.
• Fraudulent activity, abuse of the Promotion, attempts to manipulate referral activity, or violations of the Modak Referral Program Terms and Conditions, the Modak Terms and Conditions, or the Deposit Account Agreement may result in disqualification, forfeiture of promotional rewards, reversal of previously awarded promotional rewards, suspension from future promotions, or other action permitted under applicable agreements or law.

5. Promotion Period

The MoGold Referral Promotion will remain available until modified, suspended, or terminated by Modak.

Modak may modify, extend, suspend, or discontinue this Promotion at any time, subject to applicable law and any required customer notice.

Any promotional eligibility requirements, promotional limitations, or changes to the promotional reward applicable to this Promotion will be communicated through the Modak app, promotional materials, or other communications provided by Modak.

Modak reserves the right to verify eligibility before issuing any promotional reward and may delay or withhold reward fulfillment while eligibility is being reviewed.

6. Reward

Eligible participants who complete a Successful Referral, as defined in the Modak Referral Program Terms and Conditions, will receive one (1) complimentary month of MoGold membership for each qualifying referral.

Complimentary MoGold membership will generally be applied within five (5) business days following verification of the Successful Referral.

• Customers who are not currently subscribed to MoGold will receive complimentary access to MoGold for the applicable promotional period. Customers who receive complimentary MoGold membership through this Promotion will not be automatically enrolled in a paid MoGold subscription when the complimentary promotional period expires. Unless the customer separately elects to purchase or subscribe to MoGold, access to the complimentary MoGold benefits will end upon expiration of the promotional period.
• Customers with an active paid MoGold subscription will receive one (1) additional complimentary month added to their existing subscription term.

Each additional Successful Referral will earn one (1) additional complimentary month of MoGold membership. Complimentary membership periods are cumulative and will be added to any existing complimentary or paid MoGold membership term.

The number of Successful Referrals eligible for promotional rewards is subject to the referral eligibility requirements and referral limits set forth in the Modak Referral Program Terms and Conditions.

Complimentary MoGold membership earned through this Promotion is non-transferable, has no cash value, and may not be redeemed for cash unless required by applicable law.

The features, benefits, and terms applicable to MoGold membership are governed by the Modak Terms and Conditions and any applicable MoGold Terms and Conditions.

Modak reserves the right to verify eligibility before issuing promotional rewards and may delay, withhold, deny, or reverse rewards in cases involving fraud, abuse, error, or violations of these Terms and Conditions, the Modak Referral Program Terms and Conditions, the Modak Terms and Conditions, or the Deposit Account Agreement.

7. Customer Notification

Modak may notify eligible customers regarding this Promotion through the Modak app, email, SMS, push notifications, or other communication methods associated with the customer’s account.

Customers are responsible for maintaining accurate contact information. Modak is not responsible for delayed or unsuccessful notifications resulting from inaccurate contact information, spam filters, security settings, or other circumstances outside of Modak’s reasonable control.

Participation in this Promotion does not require customers to participate in advertising, publicity, or marketing activities unless the customer separately consents to such participation.

8. Liability and Disputes

Participation in the MoGold Referral Promotion is subject to the dispute resolution, limitation of liability, governing law, arbitration, indemnification, and other applicable legal provisions contained in the Modak Terms and Conditions, which are incorporated into these Terms and Conditions by reference.

Modak is not responsible for delays, failures, or errors in referral processing, referral verification, account registration, identity verification, qualifying purchase activity, reward fulfillment, or other activities associated with the Referral Program that are caused by third parties or circumstances beyond Modak’s reasonable control.

Modak shall not be responsible for delays or failures in issuing promotional rewards resulting from incomplete, inaccurate, delayed, rejected, reversed, or otherwise invalid referral activity or qualifying transactions.

Nothing in these Terms and Conditions limits any rights that cannot be limited under applicable law.

9. Privacy

Information collected or processed in connection with the MoGold Referral Promotion will be handled in accordance with the Modak Privacy Policy, the Modak Terms and Conditions, the Modak Referral Program Terms and Conditions, the Deposit Account Agreement, and applicable law.

Modak may use information associated with your account and referral activity to determine eligibility, administer the Promotion, issue promotional rewards, investigate fraud or abuse, respond to customer inquiries, comply with legal or regulatory obligations, and improve its products and services.

By participating in the MoGold Referral Promotion, you acknowledge and agree that Modak may process your information as necessary to administer the Promotion in accordance with its Privacy Policy.

10. General Provisions

Modak reserves the right to interpret, administer, monitor, modify, suspend, or terminate the MoGold Referral Promotion in accordance with these Terms and Conditions and applicable law.

Modak may delay, withhold, deny, or reverse promotional rewards if it reasonably believes a customer has engaged in fraud, abuse, manipulation of the Promotion, or any activity that violates these Terms and Conditions, the Modak Referral Program Terms and Conditions, the Modak Terms and Conditions, the Deposit Account Agreement, or applicable law.

Failure by Modak to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other rights available to Modak.

If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms and Conditions supplement the Modak Referral Program Terms and Conditions, the Modak Terms and Conditions, the Deposit Account Agreement, and any other applicable agreements governing your Modak account. If there is a conflict between these Terms and Conditions and the Modak Referral Program Terms and Conditions, these Terms and Conditions will govern solely with respect to the additional MoGold promotional reward described in this document. In all other respects, the Modak Referral Program Terms and Conditions, the Modak Terms and Conditions, and the Deposit Account Agreement will control.
